Hotel and transportation are not included in your registration fee. Information regarding accommodations located near the course site will be included with your confirmation. You are responsible for making your own arrangements.

TERMS AND CONDITIONS:
The following terms and conditions are applicable to any of the courses offered by T H Hill Associates, Inc. ("THHA") including, but not limited to, the DS-1® Third Edition School, the Casing Failure Prevention School, and the Rig Crew Failure Prevention Training (all collectively referred to herein as the "Training"), as follows:

Cancellation/No-Show/Substitutions:
Please notify THHA by email or fax if you wish to cancel or reschedule attendance for any Training. With respect to Training scheduled to occur in Houston, Texas, notification of cancellation or rescheduling must be received at least three (3) business days prior to the start of the Training in order to receive any refund or credit. For all locations other than Houston, Texas, notification is required two (2) weeks prior to the start of the Training in order to receive any refund or credit. THHA will charge you the full tuition amount if you fail to attend Training or provide notice of cancellation of Training other than as set forth herein, however you will receive credit to attend a future Training, which will be valid for up to one (1) year, subject to availability.

THHA reserves the right to cancel any Training at any time and for any reason, including, but not limited to, insufficient enrollment. Notice of cancellation will be provided to you at least five (5) business days prior to start date of the Training. We realize that you may be traveling from out of town, and we will make every reasonable attempt to provide notice of cancellation of any Training as far in advance as possible.

Intellectual Property:
Any intellectual property rights arising from or relating to the Training including, but not limited to, THHA's copyright in the course materials, shall belong to THHA. No part of the course materials may be reproduced, disclosed, copied, or distributed, in any form whatsoever, without the prior written consent of THHA.

Non-Competition:
By registering for the Training as provided herein, you represent and expressly warrant that you are not a competitor of THHA, have no intention of competing against THHA, and you will not, either directly or indirectly, use any of the course materials you obtain from the Training in competition with or otherwise to gain an unfair competitive advantage over THHA.

Specifically, you acknowledge and agree that the course materials and information provided to you in the Training constitutes confidential, proprietary, and trade secret information ("Confidential Information").

In consideration for your receipt of Confidential Information as set forth herein, you acknowledge and agree that during the Training and for a period of one (1) year thereafter, whether directly or indirectly, you will not compete against THHA and will not provide any similar products, business practices, technology, and/or services that are provided by THHA anywhere. You further acknowledge and agree that the foregoing constitutes a reasonable limitation as to time, geographical area, and scope of activity to be restrained and that the foregoing does not impose a greater restraint than is necessary to protect THHA's goodwill or other business interest.

You agree not to disclose any Confidential Information to any third parties without the express written consent of THHA.

You further acknowledge that your failure to comply with any of the foregoing provisions will cause imminent harm and irreparable injury to THHA, and it will further deprive THHA of an adequate remedy at law. You further agree that your obligations, as set forth herein, may be enforced through specific performance.

Your failure to comply with any of the foregoing terms or conditions may be restrained and enjoined by any court of law located in Harris County, Texas.

T H Hill Associates, Inc. expressly reserves the right to refuse admission to any person.
